Basically for something like this, I would advise you get a lawyer. TOS and AUP are something very important and you want to make sure you are secured under it.
You don't want to be sued because you forgot to add it to your TOS, or you worded it wrong.

Try looking at other peoples T.O.S and seeing what they have. Try not to leave anything out and spend TIME checking over them so there are no gaps."Programming today is a race between software engineers striving to build bigger and better idiot-proof programs, and the Universe trying to produce bigger and better idiots. So far, the Universe is winning."

seek a legal consultant regarding writing a TOS/AUP. He will make sure you wouldnt get sued.

I would also look at the TOS of your provider. I have noticed many host with servers at rackshack incorporating thier TOS.

only problem with copying someone else's tos is that, if they feel as if it was forged, they might take actions.

Some ISP and host are more than happy to share TOS and AUP info.

yeah, if you will be using someone else's tos.
ask before you copy.
I wouldn't mind someone else re-wording my tos as long as they ask and not copy word for word =).
